GKV versus PKV is not just monthly price
Health insurance is a runway decision
Founders can underestimate how much the health-insurance choice shapes personal burn. Statutory health insurance (GKV) and private health insurance (PKV) behave differently, and the cheapest route in month one is not always the route you want to be stuck with later.

Taxes can arrive before you feel profitable
Germany can turn revenue into tax-admin work quickly. The trap is not that tax exists. The trap is treating cleared invoices as fully usable cash before you understand prepayments, VAT, trade tax, and cross-border invoicing.
- 01Tax prepayments: Germany can set quarterly Vorauszahlungen. Do not treat year-one cash as fully yours just because the first invoices cleared.
- 02Trade tax: a GmbH is generally subject to Gewerbesteuer. The municipal Hebesatz can make Berlin, Munich, and a smaller town feel like different tax environments.
- 03VAT: check whether you charge Umsatzsteuer, whether Kleinunternehmer rules are relevant, and how cross-border invoices work before the first customer procurement flow starts.

Anmeldung unlocks more than people expect
Address, banking, and mail are one system
The address/bank account loop is one of the most annoying Germany onboarding patterns. You may need an address to open or cleanly use certain accounts, while landlords may want income proof, local banking, or registration-friendly paperwork before they choose you.

Gewerbeamt and Transparenzregister
Registers do not stop at Handelsregister
Founders often think the Handelsregister entry is the finish line. It is not. For many GmbHs, you still need to handle the local trade registration and the beneficial-owner register. Both feel redundant until a bank, tax office, or diligence request asks for proof.
- Gewerbeanmeldung: registering the GmbH with the Handelsregister does not automatically replace the trade registration with the local Gewerbeamt.
- The Gewerbeamt notification can trigger downstream admin with the Finanzamt, IHK, Berufsgenossenschaft, and other bodies, so keep the confirmation.
- Transparenzregister: since 2021, GmbHs generally have an active duty to report beneficial-owner information.
- Do not assume the shareholder list in the Handelsregister means the transparency-register work is done. Missing or wrong data can create fines and diligence friction.
The small recurring bill people forget
Budget for Rundfunkbeitrag
The broadcast contribution is not startup-specific, but founders moving to Germany often discover it through a retroactive-looking letter. As of May 2026, the household contribution is EUR 18.36 per month. A business premises can also trigger contribution mail; for a small business premises with 0-8 employees, the official table currently lists EUR 6.12 per month.

Not only personal protection
Insurance is customer infrastructure
Insurance is not just about catastrophic edge cases. In Germany and broader Europe, it can also be part of being taken seriously by landlords, enterprise customers, and regulated buyers.

Side projects are not always clean
Check employment, IP, and non-competes
Many AI founders join a company briefly before going independent. That can be totally fine. It can also create IP, confidentiality, and conflict problems if your new company is too close to the work, data, customers, or inventions you touched before.
- If you worked for a German employer before going independent, check side-project IP assignment, confidentiality, and non-compete language before you build too close to the old work.
- German post-employment non-competes work differently than US-style folklore. Some are unenforceable, some require compensation, and some still create enough uncertainty to slow a raise or sale.
- If the idea overlaps with your employer, get legal advice before you incorporate, pitch, or push code publicly.
Six months goes fast
Fix mobility before it becomes urgent
If you do not drive, this can stay in the background. If you need a car for customers, factories, field work, family logistics, or life outside the inner ring, the deadline matters.
- 01Many non-EU licences are only usable for six months after registering residence in Germany.
- 02If you need to drive, start the conversion path early. Some licences convert more easily than others.
- 03Check translation, eye test, first-aid, theory, and practical exam requirements for your issuing country before the deadline is close.
